About the Author
BRAD FELD has been an early-stage investor and entrepreneur for over twenty-five years. Prior to co-founding Foundry Groupa Boulder, Colorado-based venture capital firmhe co-founded Mobius Venture Capital. Brad also founded Intensity Ventures, a company that helped launch and operate software companies. Prior to this, Brad founded Feld Technologies. He is also a founder of Techstars and has been active with non-profit organizations, including acting as chairperson for the National Center for Women in Technology.
JASON MENDELSON has 20 years of experience in the venture industry. Prior to co-founding Foundry Group, Jason was a Managing Director and Chief Administrative officer at Mobius Venture Capital, where he also served as the firm's general counsel. Besides his experience as a venture investor, Jason has also been a software engineer, startup lawyer, and a co-founder of SRS | Acquiom. He is an adjunct at the University of Colorado Law School where he co-teaches a course on venture capital and entrepreneurship.

About the authors
Brad has been an early stage investor and entrepreneur since 1987. Prior to co-founding Foundry Group, he co-founded Mobius Venture Capital and, prior to that, founded Intensity Ventures. Brad is also a co-founder of Techstars.
Brad is a writer and speaker on the topics of venture capital investing and entrepreneurship. He's written a number of books as part of the Startup Revolution series and writes the blogs Feld Thoughts and Venture Deals.
Brad holds Bachelor of Science and Master of Science degrees in Management Science from the Massachusetts Institute of Technology. Brad is also an art collector and long-distance runner. He has completed 25 marathons as part of his mission to finish a marathon in each of the 50 states.
Jason has been a venture capitalist, startup co-founder, general counsel, and software engineer. Today he is an author, musician (under the name Jace Allen), philanthropist, and is very active in the criminal justice reform ecosystem.
Jason was in the venture capital and technology industries in a multitude of investing, founding, legal, operational and engineering roles. His 20+ years of experience in this ecosystem led to him being a founding partner of Foundry Group, a Colorado-based venture capital firm that invests in technology companies throughout the U.S. and Canada. Foundry also created a fund-of-fund to invest in the next generation of venture capital managers.
Jason is also a co-founder of SRS Acquiom, the largest mergers and acquisitions closing platform. SRS has completed over $500 billion in merger transactions as escrow agents, payments administrators, shareholder representatives and insurers.
Prior to co-founding SRS, Jason was a Managing Director and General Counsel for Mobius Venture Capital, where he also acted as its chief administrative partner overseeing all operations of the firm. During this time, Jason led fund formation activities and assisted portfolio companies with challenges dealing with high-stakes litigation, securities, employment, regulatory and intellectual property law.
As one of the first full-time, in-house general counsels at a venture capital firm, Jason has been on the forefront of thought leadership and has co-chaired the National Venture Capital Association’s (NVCA) General Counsel group and has been an active participant on the NVCA’s Chief Financial Officer group. He was one of the key draftspersons for the NVCA model document task force which created the industry’s first set of standardized venture capital financing documents, which has greatly aided in the efficiency of completing these types of deals. He served on the board of the NVCA, including as an executive board member, from 2009-2013.
Prior to his involvement with Mobius Venture Capital, Jason was an attorney with Cooley LLP, where he practiced corporate and securities law with an emphasis on representation of emerging companies in private and public financings, mergers and acquisitions.
Before his legal career, Jason was a senior consultant and software engineer at Accenture where he focused on financial institution re-engineering engagements. While at Accenture, Jason supervised programming teams up to forty people in size and was responsible for managing deliverables in multi-billion dollar engagements.
Jason holds a Bachelor of Arts degree in Economics, with distinction and a Juris Doctorate, cum laude, from the University of Michigan. Jason has also been an adjunct professor at the University of Colorado for over a decade and is a Senior Fellow of the Silicon Flatirons.

Backstory: I'm a startup founder, new to the VC game, and currently raising our seed round for our startup. I didn't know very much about raising money other than I heard the term "Term Sheet" and "Seed Round, Series A, B" "Valuation" etc being thrown around in the startup world. After watching a few youtube videos on raising money and the VC world it was time to buy this book and get into the details.
What this book does: It breaks all of the different elements of raising money (focused a lot on Seed stage - which I think most people want to know about and is the author's focus) and the different terms being thrown around or discussed during the process. What you should watch out for, what are the terms in the term sheet, what's worth arguing over, understanding how the different types of investors will get paid and in what order when you EXIT (Sell your company or IPO)... this is very important btw.
Highlights & Best part: It gives you the "Entrepreneur's Perspective" for each section, which is awesome... So you can see how you, as the entrepreneur, should view this sections and what's the important thing to think about and what's not when faced with that particular area. This is important especially when people in the room are arguing over terms that aren't important to you...figure out what parts of the agreement are "must have" terms for you and then don't spend too much time or energy arguing over the other stuff, especially if it's industry practice for some of these terms etc.
I hope this review helps...Still a newbie to this stuff, but literally using this book as my manual for my Seed round negotiations that are happening as I'm writing this... So that should be a good indication of how valuable this book is :)
I wish I had read it before taking VC money some years ago. This book is more like a practical guide and resource.
Venture Deals is not going to directly help you answer the question whether or not you should take venture capital. But it’s going to help you a lot if you decide to use venture capital to fund your company.
VCs’ obsession in getting preferred terms and stock in early stage financing annoys me tremendously. A company in its early stage needs partners that are willing to experiment a lot to build a great business model. And partners need to be onboard on equal terms, sharing the same risks and goals. You can’t time your success in an early stage venture, and it doesn’t sound good to me to rush into “scale mode” before finding a profitable product / market fit.
Early-stage startup returns are binary — they either become failures or big successes with little in between that’s meaningful to investors. That’s why I don’t understand sophisticated early stage investors so worried about terms that put the entrepreneur in a very uncomfortable position. In my view, this is not fair and not wise. It doesn’t help their returns and it misaligns the shareholder’s goals.
Raising capital under preferred terms is a loan that looks nice on the balance sheet.
After series A, when you already built an exciting business model and your focus is on scale, it makes sense to take loans (equity capital with preferred terms). You can build a reasonable financial model and be more comfortable with the “all in” approach.
Although venture capital firms invest on “what could go right”, they manage their investments obsessively on “what might go wrong.” And on early stage investment, this obsession seems irrational.
The authors do a great job of keeping the focus on the motivations and concerns of the various parties involved in a venture deal. They emphasize the importance of trust and honesty on the part of both the VC and the founder(s) and make it clear that the decision to invest (or take investment) shouldn't be based purely on the numbers.
This is a MUST read this book if you are an entrepreneur seeking funding. Not only is packed full of knowledge, but I appreciate the balance it has between the VC and entrepreneur. It is written by Brad and Jason who are partners at the Foundry VC. It provides depth but illuminates what is truly important. Its oriented at win-win-win between VC, their investors, and the founders, which is important to me and should be important to any venture.
I didn't know it at the time I read this book, that there was a online course through Techstars that I am now enrolled in currently. The course really cements the knowledge and assess the early stage choices and their implications of later stage funding.
Few books have provided me some much knowledge in one source. I highly recommend both the book and the course.
